1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and SDC ("we," "us" or "our"), concerning your access to and use of our WhatsApp Business API integration platform and chatbot builder services.
By accessing the platform, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree, you are expressly prohibited from using the site and must discontinue use immediately.
2. Account Responsibilities
To use SDC's automated messaging services, you may be required to register for an account. You agree to keep your password confidential and will be responsible for all use of your account and password.
- You must provide accurate, current, and complete registration information.
- You are responsible for securing your own WhatsApp Business number and adhering to Meta's Business Policies.
- We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate or violates third-party trademarks.
3. Acceptable Use & API Limits
As a user of our automated chat platform, you agree not to use the services for any purpose other than that for which we make the services available.
Prohibited Activities
- Sending unsolicited spam or broadcasting promotional messages without obtaining prior opt-in consent from users.
- Violating WhatsApp's official Commerce and Business Policies, including the sale of prohibited goods (e.g., illegal drugs, weapons).
- Bypassing, disabling, or otherwise interfering with security-related features of the platform.
- Using the shared team inbox or chatbot flows to transmit malicious code or malware.
We strictly enforce API rate limits to ensure platform stability. Excessive usage that triggers Meta's throttling may result in a temporary suspension of your broadcast capabilities.
4. Subscriptions & Payments
We bill for our SaaS services through a recurring subscription model. By selecting a pricing tier, you agree to pay all applicable fees associated with your chosen plan.
- Billing Cycle: Charges are billed in advance on a monthly or annual basis.
- WhatsApp Conversation Charges: Standard messaging rates mandated by Meta (e.g., utility, marketing, and service conversations) are passed through to you unless explicitly stated otherwise in your tier.
- Refunds: Subscription fees are non-refundable. You may cancel at any time, and your access will remain active until the end of your current billing cycle.
5. Intellectual Property Rights
Unless otherwise indicated, the platform is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the platform are owned or controlled by us.
The "SDC" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of our company. You must not use such marks without our prior written permission.
6. Termination
We reserve the right to terminate or suspend your account and access to the services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
Upon termination, your right to use the service, including any automated workflows or active WhatsApp integrations, will immediately cease.
